Mr. Bizzy Accounting & Bookkeeping Partner Agreement
Version: 1.0
Effective Date: Date of electronic acceptance and approval by Mr. Bizzy
Company: Mr. Bizzy Technologies Inc., an Ontario corporation operating as Mr. Bizzy (“Mr. Bizzy”)
Partner: The accounting firm, bookkeeping firm or other approved accounting professional identified during registration (“Partner”)
This Accounting & Bookkeeping Partner Agreement (“Agreement”) sets out the terms and conditions governing participation in the Mr. Bizzy Accounting & Bookkeeping Partner Program (“Program”).
By accepting this Agreement electronically, the Partner agrees to the following terms.
1. Program Overview
1.1 The Program enables accounting firms, bookkeepers and other approved accounting professionals to streamline client expense administration using Mr. Bizzy’s services, earn referral commissions, receive preferred subscription pricing and participate in partner marketing opportunities.
1.2 The Program includes three categories of benefits:
- Operational Benefits: Integration of eligible client Expense Bot accounts with the Partner’s Expense Bot Plus environment, automated document organization, expense reporting and related support.
- Financial Benefits: Referral commissions on qualifying subscriptions and discounted access to Expense Bot Plus.
- Marketing Benefits: Partner directory listings, case studies and promotional opportunities.
1.3 Enrollment is free. No minimum number of referrals or active Expense Bot Plus subscription is required to participate in the Program.
1.4 Participation does not create an employment, agency, franchise, joint venture or legal partnership relationship. The Partner operates as an independent business and is not authorized to bind Mr. Bizzy to any obligation.
2. Eligibility and Enrollment
2.1 The Program is available to accounting firms, bookkeeping firms, independent accountants, bookkeepers and other accounting or bookkeeping service providers approved by Mr. Bizzy.
2.2 The Partner must provide accurate business and contact information during registration and maintain current information throughout participation.
2.3 Mr. Bizzy reserves the right to review and approve Program applications. Benefits become available upon approval, subject to the requirements applicable to each benefit.
2.4 The person accepting this Agreement represents that they have authority to bind the Partner organization.
2.5 Partners may refer eligible customers and earn commissions without subscribing to Expense Bot Plus.
3. Operational Benefits and Client Account Models
3.1 Available Client Account Models
Partners may support their clients through either of the following arrangements, depending on the services provided by the Partner and the client’s requirements.
Model A – Accountant-Managed Accounts
3.1.1 Partners maintaining an active Expense Bot Plus (“EBP”) subscription may assign available user accounts within their EBP environment to their clients.
3.1.2 Accounts assigned under this model are registered within and administered through the Partner’s company environment. Expense records, supporting documents and reports are maintained within that environment.
3.1.3 The Partner is responsible for administering these accounts, including allocating available user accounts, managing client access and coordinating the delivery of client records when required.
3.1.4 These user accounts are not independent Expense Bot subscriptions and cannot currently be transferred directly to another accounting firm’s environment or converted into separate client-owned Expense Bot accounts.
3.1.5 If a client ends its relationship with the Partner, the Partner is responsible for arranging the appropriate handover of that client’s expense records, subject to applicable legal, professional and contractual obligations.
3.1.6 The Partner may provide the client with a ZIP archive of the client’s dedicated folder, including available supporting documents, CSV files and expense reports.
3.1.7 Providing a ZIP archive constitutes a transfer of available records and does not constitute a transfer or migration of the underlying user account, subscription or transaction database into another Mr. Bizzy account.
3.1.8 User accounts allocated under the Partner’s existing EBP subscription do not constitute separate qualifying referrals and do not generate referral commissions.
Model B – Client-Owned Expense Bot Accounts
3.1.9 Partners may refer clients to subscribe independently to eligible Expense Bot (“EB”) Standard or Premium plans.
3.1.10 Under this model, the client maintains its own EB subscription and company account, independently of the Partner’s EBP subscription.
3.1.11 A Partner with an active EBP subscription may connect eligible client-owned EB accounts to its EBP environment using the Partner’s designated company ID or partner code.
3.1.12 When a client enters the valid company ID or partner code during registration and authorizes the connection, Mr. Bizzy will automatically associate the client’s EB account with the designated Partner’s EBP environment, subject to applicable service requirements.
3.1.13 The connection allows supported client expense documents, reports and CSV files to be organized and made available through the Partner’s EBP environment.
3.1.14 The client retains its independent EB account and subscription. If the client ends its relationship with the Partner, the client may continue using its EB account, subject to maintaining the applicable subscription.
3.1.15 The client’s connection to the former Partner may be disconnected or changed through supported procedures and appropriate authorization.
3.1.16 Qualifying new client-owned subscriptions referred by the Partner are eligible for referral commissions in accordance with Sections 5 through 8 of this Agreement.
3.2 Referral-Only Partners
3.2.1 An approved Partner is not required to maintain an EBP subscription to participate in the Program or earn referral commissions.
3.2.2 Partners without an EBP subscription may refer clients to eligible EB or EBP subscription plans and earn commissions on qualifying referrals in accordance with this Agreement.
3.2.3 Referral-only Partners do not receive EBP-based client account integration, dedicated EBP client folders or other features requiring an active EBP subscription.
3.2.4 If a referral-only Partner subsequently subscribes to EBP, the Partner becomes eligible for the applicable EBP subscription discount and supported account integration benefits.
3.3 Included EB-to-EBP Integration
3.3.1 For Partners maintaining an eligible EBP subscription, Mr. Bizzy will facilitate the connection of supported client-owned EB accounts to the Partner’s EBP environment without a separate integration charge.
3.3.2 Each Partner will be assigned a company ID or partner code for use in the client registration and account-linking process.
3.3.3 Clients entering the Partner’s valid code during registration must be informed of the designated accounting or bookkeeping provider and authorize the connection and associated sharing of expense information.
3.3.4 Subject to the applicable subscriptions and service capabilities, the integrated workflow may provide:
- Dedicated folders for connected clients.
- Organization and storage of supporting expense documents.
- Consistent expense reports.
- Exportable CSV files.
- Ongoing availability of supported expense information to the Partner.
3.3.5 The included integration applies specifically to individual client-owned EB accounts connected to the Partner’s EBP environment. It does not include EBP-to-EBP account integration.
3.3.6 Each connected client must maintain the applicable EB subscription, and the Partner must maintain an eligible EBP subscription for the integrated workflow to continue.
3.3.7 Clients may revoke or modify account-linking authorization through supported procedures. Access remains subject to applicable privacy requirements and service terms.
3.4 Account Ownership and Client Records
3.4.1 Under Model A, accounts and associated expense records are administered within the Partner’s company environment, subject to applicable client rights, legal obligations and contractual arrangements.
3.4.2 Under Model B, the client maintains its independent EB account and subscription, while the Partner receives authorized access to supported expense information through the account connection.
3.4.3 Partners are responsible for explaining the relevant account arrangement to clients, including any limitations on account portability and the procedures for obtaining records when the professional relationship ends.
3.4.4 Where a Partner is required to provide client records, the Partner may use available export and ZIP archive capabilities, subject to applicable privacy, confidentiality, professional and record-retention obligations.
3.4.5 Mr. Bizzy does not guarantee automatic migration of historical transactions, user accounts or subscriptions between company environments.
3.5 Training, Onboarding and Support
3.5.1 Mr. Bizzy will provide reasonable onboarding assistance, product training, account-linking guidance and partner support as part of the Program.
3.5.2 Partners may receive guidance on selecting between accountant-managed and client-owned account arrangements.
3.5.3 All services and operational benefits remain subject to applicable subscription plans, usage limits, service agreements and technical availability.
4. Partner Subscription Discount
4.1 Approved Partners receive a 15% ongoing discount on the subscription price of their own eligible EBP plan.
4.2 The discount applies to all EBP subscription packages, including Starter, Growth, Scale and Pro.
4.3 The discount applies to eligible monthly or annual subscription charges, excluding applicable taxes, separately charged services and other non-subscription fees.
4.4 The discount becomes available immediately upon Partner approval and does not require any client referrals.
4.5 The discount remains available while the Partner maintains approved Program status and an eligible EBP subscription.
4.6 The discount applies only to the Partner’s own EBP subscription. It does not apply to individual EB Standard or Premium subscriptions.
4.7 The Partner discount cannot be combined with other promotional offers unless Mr. Bizzy expressly permits it.
4.8 The discount is non-transferable and has no cash value.
4.9 Mr. Bizzy may change the standard Partner discount prospectively in accordance with Section 13. Changes will not affect subscription periods already paid for.
5. Qualifying Referrals
5.1 A qualifying referral is a new paying customer who is referred by the Partner, purchases an eligible Mr. Bizzy subscription and is successfully attributed to the Partner.
5.2 Eligible subscriptions include:
- Expense Bot Standard.
- Expense Bot Premium.
- Expense Bot Plus Starter.
- Expense Bot Plus Growth.
- Expense Bot Plus Scale.
- Expense Bot Plus Pro.
5.3 Referral attribution may be established through the Partner’s unique company ID, partner code, referral link or another referral method approved by Mr. Bizzy.
5.4 A referred customer must not already be attributed to another partner or an existing Mr. Bizzy sales opportunity, unless Mr. Bizzy expressly approves an exception.
5.5 Self-referrals, subscriptions purchased by the Partner for its own use, duplicate or fraudulent accounts, and transactions intended to circumvent Program rules are not eligible.
5.6 Mr. Bizzy will maintain referral attribution records and determine eligibility reasonably and in good faith.
5.7 A Partner may request clarification or review of a disputed referral attribution decision.
6. Referral Commission
6.1 The Partner will earn a 20% referral commission on Net Subscription Revenue received from each qualifying referred customer during the customer’s first 12 months of eligible paid subscription service, subject to Section 7.
6.2 “Net Subscription Revenue” means the actual eligible subscription revenue received and retained by Mr. Bizzy after applicable discounts, refunds, credits and payment reversals, excluding applicable sales taxes and separately charged non-subscription services.
6.3 Commissions are calculated on the actual amount paid by the customer, not the regular advertised subscription price.
6.4 If a customer uses a promotional discount, coupon or other permitted price reduction, the Partner’s commission will be calculated on the reduced subscription revenue actually received.
6.5 Example: If an eligible subscription has a regular price of $100 but the customer pays $80 after a promotion, the 20% commission is calculated on $80, resulting in a $16 commission, provided all other eligibility requirements are satisfied.
6.6 Each qualifying referred customer has a single initial 12-month commission eligibility period. Renewals, plan changes or changes in billing frequency do not restart this period.
6.7 Commissions do not continue beyond the first 12 months for the same referred customer unless an applicable written promotional offer expressly provides otherwise.
6.8 New qualifying customers referred in subsequent years each have their own initial 12-month commission eligibility period.
6.9 No commission is payable on the Partner’s own subscriptions or self-referrals.
6.10 Commission amounts are subject to reasonable verification and adjustments for refunds, chargebacks, reversed payments or other amounts not retained by Mr. Bizzy.
7. Commission Qualification and Subscription Duration
7.1 Monthly Subscriptions
7.1.1 A customer subscribing on a monthly billing basis must complete at least three consecutive paid monthly subscription periods before the Partner’s referral commission becomes payable.
7.1.2 No commission is payable before the third qualifying monthly subscription payment has been successfully received.
7.1.3 Once the customer completes three consecutive paid months, the Partner becomes eligible for commissions on qualifying subscription revenue received during those first three months, together with subsequent eligible payments within the customer’s original 12-month commission period.
7.1.4 If the customer cancels or otherwise fails to complete three consecutive paid monthly periods, no commission is payable for that subscription.
7.1.5 A failed payment that is subsequently collected may count toward qualification once payment is successfully received, provided the subscription otherwise meets the consecutive paid-month requirement.
7.2 Annual Subscriptions
7.2.1 The three-month qualification requirement does not apply to annual subscriptions.
7.2.2 Commission on an eligible annual subscription is calculated on the actual annual subscription payment received, excluding applicable taxes and after permitted discounts.
7.2.3 The full eligible annual commission is included in the next applicable quarterly settlement, subject to verification and any refund or payment reversal adjustments.
7.2.4 An annual subscription payment does not establish entitlement to additional commissions beyond the customer’s initial 12-month commission eligibility period.
8. Quarterly Commission Settlement and Payment Options
8.1 Referral commissions are calculated and settled on a calendar-quarter basis.
8.2 Calendar quarters end on March 31, June 30, September 30 and December 31.
8.3 Eligible commissions will be processed within 30 days following the end of each calendar quarter, subject to the qualification, verification and payment provisions of this Agreement.
8.4 A monthly subscription that completes its three-month qualification requirement during a later quarter may result in accumulated commissions from previous months being included in that later quarter’s settlement.
8.5 Partners may choose one of the following commission settlement methods:
Option A – Cash Payout
The Partner receives eligible commissions through a payment method supported by Mr. Bizzy.
A minimum accumulated commission balance of CAD $50 is required for a cash payout.
Balances below CAD $50 will carry forward until the minimum is reached or the Agreement is terminated. Upon termination, valid earned cash commissions remain payable regardless of the minimum payout threshold.
Option B – EBP Subscription Credits
The Partner may elect to receive eligible commissions as credits toward the Partner’s own EBP subscription fees.
Credits will be applied to eligible future EBP invoices after the applicable 15% Partner discount has been calculated.
Unused credits may carry forward for use against subsequent eligible EBP invoices while the partnership remains active.
Credits cannot be converted into cash, transferred to another account or used for unrelated services.
Unused credits expire upon termination of the partnership and are not financially compensated.
8.6 A Partner may change its preferred commission settlement method at any time through the available Partner account management process or by contacting Mr. Bizzy.
8.7 A change in settlement method applies to future quarterly settlements and does not retroactively change commissions already paid or converted into EBP credits.
8.8 Commission amounts already converted into EBP credits remain credits even if the Partner subsequently selects cash payouts.
8.9 Partners choosing EBP credits are responsible for maintaining an eligible EBP subscription to use those credits. Credits do not create a right to cash compensation if the Partner does not subscribe to EBP or subsequently cancels EBP.
8.10 Mr. Bizzy will maintain reasonable records of eligible referrals, commission calculations, cash payments, credits issued and credit balances.
8.11 Any commission overpayment or credit resulting from a refunded or reversed subscription payment may be adjusted against subsequent settlements or recovered where legally permitted.
8.12 Partners are responsible for their applicable tax obligations arising from commissions and credits, subject to any reporting or withholding requirements imposed on Mr. Bizzy by law.
9. Partner Marketing and Promotional Benefits
9.1 Approved Partners may participate in Mr. Bizzy’s partner directory, case studies and other promotional opportunities, subject to the conditions below.
9.2 Partner Directory Listing
9.2.1 The first 100 approved Partners are eligible for a complimentary listing on the Mr. Bizzy partner webpage without requiring an active EBP subscription.
9.2.2 After the first 100 approved Partners, new Partners must maintain an active EBP subscription to qualify for a new directory listing, unless Mr. Bizzy expressly approves an exception.
9.2.3 A Partner listing may include the Partner’s business name, company logo and website link.
9.2.4 Listings require the Partner’s consent and submission of suitable, accurate business information.
9.2.5 Directory listings do not guarantee website traffic, referrals, leads or new customers.
9.2.6 Mr. Bizzy may remove listings containing inaccurate information, inappropriate content or unauthorized brand materials, or listings belonging to Partners whose Program participation has ended.
9.3 Case Studies and Success Stories
9.3.1 Mr. Bizzy may invite Partners to participate in case studies, testimonials, interviews and success stories demonstrating the use of Mr. Bizzy services.
9.3.2 Participation is voluntary and subject to mutual agreement.
9.3.3 Any case study or testimonial identifying a Partner must be approved by that Partner before publication.
9.3.4 Client-identifying information and confidential business records may not be disclosed without appropriate authorization.
9.4 Website and Social Media Promotion
9.4.1 Mr. Bizzy may feature selected Partners in website content, blog posts, social media publications, webinars and other marketing campaigns.
9.4.2 Promotional opportunities are subject to editorial discretion, scheduling, mutual agreement and applicable permissions.
9.4.3 Mr. Bizzy does not guarantee a minimum number of promotional posts, marketing campaigns or business opportunities.
9.4.4 The Partner grants Mr. Bizzy a non-exclusive, royalty-free, revocable licence to use approved business names, logos and supplied promotional materials for agreed Program-related marketing activities.
9.4.5 The Partner may withdraw permission for future promotional use by providing written notice, subject to reasonable time to update existing digital materials and any separately agreed publication commitments.
10. Partner Responsibilities
10.1 The Partner agrees to:
- Provide accurate information during registration and throughout Program participation.
- Represent Mr. Bizzy products and services accurately.
- Avoid misleading claims, unauthorized guarantees or misrepresentation of product capabilities.
- Use its assigned company ID, partner code or referral link responsibly.
- Inform clients of the purpose of connecting their EB accounts to the Partner’s EBP environment.
- Ensure clients complete the applicable registration and account-linking authorization.
- Protect confidential client information and account credentials.
- Comply with applicable privacy, professional conduct, conflict-of-interest and marketing laws.
- Disclose referral compensation or other material commercial relationships where required by applicable law, professional rules or client agreements.
- Refrain from unauthorized use of Mr. Bizzy’s trademarks, branding or intellectual property.
10.2 The Partner remains responsible for its own accounting, bookkeeping, tax preparation, advisory and other professional services.
10.3 The Partner must independently determine whether accepting referral commissions is permitted by the professional obligations and client arrangements applicable to its practice.
10.4 The Partner must not represent itself as an employee, agent or authorized legal representative of Mr. Bizzy.
11. Client Accounts, Data Protection and Confidentiality
11.1 Referred customers remain independent Mr. Bizzy customers and are subject to the applicable subscription terms, privacy policy and service agreements.
11.2 Connecting a client’s EB account to the Partner’s EBP environment does not transfer ownership of the client’s account to the Partner.
11.3 Client access and data-sharing permissions remain subject to the client’s authorization, applicable service functionality and legal requirements.
11.4 Each party will take reasonable measures to protect confidential information received through the Program.
11.5 Confidential information may be used only for legitimate Program activities or the provision of authorized services.
11.6 Each party will comply with applicable privacy and data protection laws.
11.7 Neither party may disclose the other party’s confidential business information to third parties except as authorized, legally required or reasonably necessary to perform this Agreement under appropriate confidentiality safeguards.
11.8 Detailed data processing, retention, security and service obligations are governed by the applicable Mr. Bizzy service terms, privacy policy and any additional agreements required for a particular client relationship.
11.9 Confidentiality obligations survive termination of this Agreement.
12. Intellectual Property and Brand Use
12.1 Mr. Bizzy retains ownership of its software, services, trademarks, logos, documentation and related intellectual property.
12.2 The Partner retains ownership of its business name, logo and other intellectual property.
12.3 Each party may use the other party’s approved brand materials only for authorized Program-related activities.
12.4 Neither party may modify, register, transfer or otherwise misuse the other party’s intellectual property without permission.
12.5 Authorization to use the other party’s brand materials ends upon termination of this Agreement, except as otherwise agreed in writing.
13. Program Changes and Special Promotions
13.1 Mr. Bizzy may introduce temporary promotional commission rates, additional Partner discounts or other incentives.
13.2 Each promotion may specify its own eligibility criteria, duration, applicable subscription products and conditions.
13.3 Promotional benefits do not automatically apply retroactively to existing referrals or subscriptions.
13.4 Mr. Bizzy may modify standard Program benefits, including commission rates and Partner discounts, by providing at least 30 days’ advance written or electronic notice.
13.5 Changes to referral commission rates apply prospectively to new qualifying referrals only.
13.6 Existing qualifying referrals retain the commission rate applicable when the referral was attributed, for the remainder of their original 12-month commission eligibility period, provided all other eligibility requirements continue to be satisfied.
13.7 For example, if the standard commission rate changes from 20% to 15%, a previously attributed qualifying referral will continue earning commissions at 20% for its remaining eligible first-year payments. New referrals made after the effective date of the change will be subject to the new rate.
13.8 Changes to the ongoing EBP Partner discount apply prospectively following the notice period and do not retroactively alter subscription periods already paid for.
13.9 No Program change will retroactively eliminate valid commissions already earned.
13.10 Partners who do not accept a material Program change may terminate participation in accordance with Section 14.
14. Agreement Duration and Termination
14.1 This Agreement begins upon electronic acceptance and Mr. Bizzy’s approval of the Partner’s registration.
14.2 The Agreement continues until terminated by either party.
14.3 Either party may terminate the Agreement for convenience by providing 30 days’ written or electronic notice.
14.4 Mr. Bizzy may suspend or terminate participation immediately in cases involving fraud, unlawful conduct, deliberate referral abuse, serious security risks or material misuse of confidential information.
14.5 For other material breaches capable of remedy, the non-breaching party will provide notice and a reasonable opportunity to correct the breach before termination.
14.6 Upon termination:
- The Partner may no longer register new qualifying referrals.
- The 15% EBP Partner discount ends prospectively, subject to subscription periods already paid for.
- The Partner’s directory listing may be removed.
- Authorization to use Mr. Bizzy marketing materials ends.
- Existing client subscriptions remain independent and continue under their applicable service agreements.
- Existing EB-to-EBP connections remain subject to the client’s authorization, the Partner’s continuing EBP subscription and applicable service terms.
- Valid earned cash commissions remain payable under the applicable settlement provisions.
- Unused EBP credits expire and cannot be converted into cash.
14.7 Unless termination results from fraud, deliberate referral abuse or other conduct directly invalidating the relevant referrals, qualifying customers attributed before termination remain eligible for commissions on qualifying payments during their original 12-month commission eligibility periods.
14.8 The Partner’s previously selected settlement method will continue to govern future eligible commission settlements unless changed through an available account management process. Where no eligible EBP subscription remains, the Partner may select cash payout for future commissions not already converted into credits.
14.9 Provisions relating to accrued payment obligations, confidentiality, intellectual property, liability, dispute resolution and other terms intended to survive termination will remain effective.
15. Service Availability and Limitations
15.1 Mr. Bizzy will provide subscribed services in accordance with the applicable subscription agreements and service terms.
15.2 Mr. Bizzy does not guarantee any minimum number of referrals, commission earnings, marketing leads, client conversions or administrative cost savings.
15.3 Expense Bot and Expense Bot Plus support expense administration and reporting workflows but do not replace the Partner’s professional judgment or responsibility for reviewing accounting records and providing professional services.
15.4 Service features, usage limits, integrations and technical capabilities may change in accordance with applicable service agreements.
16. Limitation of Liability
16.1 Neither party excludes or limits liability where prohibited by applicable law.
16.2 Except for fraud, wilful misconduct, unpaid amounts properly owing, intellectual property infringement or misuse, and breaches of confidentiality or data protection obligations, neither party will be liable for indirect, incidental, special or consequential damages arising from participation in the Program.
16.3 Subject to applicable law and the exceptions in Section 16.2, each party’s aggregate liability arising directly from this Agreement will not exceed the greater of CAD $1,000 or the total commissions paid or payable and EBP subscription fees paid by the Partner during the 12 months preceding the event giving rise to the claim.
16.4 This limitation applies only to claims arising under this Partner Agreement and does not modify liability provisions contained in separate applicable service agreements.
17. Governing Law and Dispute Resolution
17.1 This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
17.2 The parties will first attempt to resolve disputes through good-faith discussions between authorized representatives.
17.3 If a dispute cannot be resolved informally, the courts of Ontario will have jurisdiction, subject to applicable law.
18. Notices and Communications
18.1 Program-related notices may be delivered electronically to the Partner’s registered email address.
18.2 The Partner is responsible for maintaining accurate and current contact information.
18.3 Notices to Mr. Bizzy may be sent through the official contact channels published on the Mr. Bizzy website.
18.4 Each party consents to receiving contractual and administrative communications electronically.
19. General Terms
19.1 This Agreement, together with the applicable service agreements and expressly incorporated Program documents, constitutes the agreement governing participation in the Program.
19.2 If any provision is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
19.3 Failure to enforce a provision does not constitute a waiver of that provision.
19.4 The Partner may not transfer its rights or obligations under this Agreement without Mr. Bizzy’s prior written consent.
19.5 Electronic records and signatures may be used to form and evidence this Agreement in accordance with applicable law.
19.6 This Agreement may be accepted electronically through the Mr. Bizzy website or another approved electronic signing process.
